Welcome to Toolstr! These Terms of Service (“Terms”) govern your access to and use of the apps and services provided by TOOLSTR PRIVATE LIMITED (“Toolstr,” “we,” “our,” or “us”), including but not limited to Apploy, Super Local Delivery, Super QR Codes, Addressly, Inventric, and any related or future products (together, the “Services”).

By using our Services, you agree to these Terms. If you do not agree, you may not use our Services.

1. Eligibility

  • Merchants must be at least 18 years old and have the legal authority to enter into contracts.
  • Drivers using our driver app must be at least 18 years old and legally permitted to work as delivery personnel in their region.
  • Customers may use our Services indirectly through merchants’ stores, but children under 13 (or the minimum legal age in their region) must not provide personal information directly to Toolstr.

2. Accounts

  • Merchants: To use our apps, you must connect your Shopify (or other supported platform) account. You are responsible for maintaining the confidentiality of your login credentials.
  • Drivers: Driver accounts are created or managed by merchants. You are responsible for accurate information, safe driving, and lawful deliveries.
  • Customers: We do not create accounts for you directly. Your relationship is with the merchant whose store you shop from.

3. Use of Services

You agree to:

  • Use the Services only for lawful business purposes.
  • Not misuse, copy, reverse engineer, or interfere with our Services.
  • Not use our Services to send spam, unauthorized promotions, or harmful content.
  • Comply with all applicable laws, including data protection, delivery regulations, and e-commerce rules.

We may suspend or terminate your access if you violate these Terms.

4. Fees & Payments

  • Merchants agree to pay applicable subscription or usage fees as displayed in the Shopify App Store or Toolstr pricing pages.
  • Fees are billed via Shopify or other authorized payment providers.
  • All payments are non-refundable unless required by law.

5. Data & Privacy

  • Merchants grant us permission to access necessary store data (products, orders, customers, etc.) solely to provide our Services.
  • Drivers consent to location tracking and delivery activity tracking for operational and proof-of-delivery purposes.
  • Customers acknowledge that their order and delivery data may be processed by Toolstr on behalf of merchants.
  • Our Privacy Policy governs how we collect, use, and share data.

6. Intellectual Property

  • Toolstr owns all rights, titles, and interests in the Services, including software, branding, and content.
  • Merchants retain ownership of their store content and data.
  • You may not use our trademarks or branding without written permission.

7. Service Availability

We strive to keep our Services available and reliable, but:

  • We do not guarantee uninterrupted or error-free operation.
  • We may modify, suspend, or discontinue parts of the Services at any time without liability.

8. Third-Party Services

Our Services integrate with platforms such as Shopify, Google Maps, Firebase, and others. Their use is governed by their own terms and policies. Toolstr is not responsible for third-party failures or data practices.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Toolstr is not liable for lost profits, business interruptions, or indirect damages.
  • Our total liability to merchants, drivers, or customers for any claim will not exceed the amount paid to Toolstr in the past 3 months (if any).

10. Indemnification

You agree to defend, indemnify, and hold harmless Toolstr from claims, damages, or expenses arising from your misuse of the Services, violation of laws, or infringement of third-party rights.

11. Termination

  • Merchants may uninstall apps at any time via Shopify.
  • Toolstr may suspend or terminate access if these Terms are violated.
  • Upon termination, your rights to use the Services end immediately, but obligations relating to payment, liability, and intellectual property will survive.

12. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict of laws. Disputes shall be resolved in the courts of Pune.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

14. Marketing and Publicity

  • By using our Services, merchants grant Toolstr a non-exclusive, royalty-free, worldwide license to use their branding elements (including store name, logo, and trademarks) for the limited purpose of identifying them as a customer of Toolstr.
  • This includes use on our website, blogs, case studies, social media, presentations, and other marketing or promotional materials.
  • Merchants may opt out of this use at any time by notifying us in writing at support@toolstr.com. Upon such request, we will remove their branding from future promotional materials within a reasonable period.

15. Disclaimer on Merchant-Customer Relationship

Toolstr provides software tools to merchants but is not a party to any transaction between merchants and their customers. We are not responsible for product quality, fulfillment, refunds, delivery issues, or disputes between merchants, drivers, and customers. These remain the sole responsibility of the merchant.
